Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Batch Keeper mobile application, website, and related services (collectively, the “Service”), operated by José Villalobos doing business as Batch Keeper (“Batch Keeper,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Batch Keeper.

You agree to provide accurate account information and to keep your login credentials secure. You are responsible for activity occurring through your account unless caused by a security failure under our control.

2. Independent Service Disclaimer

Batch Keeper is an independent tool for grocery delivery shoppers and independent contractors.

Batch Keeper is not affiliated with, endorsed by, sponsored by, or operated by Instacart, DoorDash, Uber, Walmart, Amazon, Shipt, or any other delivery, retail, mapping, weather, or gig-work platform.

References to third-party companies, platforms, products, or trademarks are for identification purposes only and remain the property of their respective owners.

Batch Keeper does not guarantee:

Access to delivery orders
Availability or quality of batches
Tips, income, profitability, or business results
Continued access to any third-party platform
Accuracy of information supplied by third parties

3. Limited License

Subject to these Terms, Batch Keeper grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Service for your lawful personal or independent-contractor activities.

This license does not transfer ownership of the Service or any Batch Keeper intellectual property.

You may not:

Copy, modify, distribute, sell, lease, or sublicense the Service
Reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits it
Circumvent subscription controls, security features, or access restrictions
Interfere with the Service, its servers, or other users
Use automated systems to scrape, overload, or abuse the Service
Use Batch Keeper for unlawful, deceptive, discriminatory, harassing, or harmful purposes
Impersonate another person or misrepresent your identity

4. Customer and Delivery Records

Batch Keeper allows you to create private records concerning your delivery experiences, including customer labels or names, addresses, delivery history, tips, notes, ratings, difficulty indicators, and safety flags.

You are solely responsible for the information you enter and agree that you will:

Enter and use information only for lawful delivery-related purposes
Avoid entering information that is unnecessary, false, defamatory, discriminatory, threatening, or unlawfully obtained
Not use customer information to harass, stalk, intimidate, discriminate against, or publicly identify another person
Comply with applicable privacy, data-protection, anti-discrimination, and platform rules
Not publish or distribute customer records outside the Service without a lawful basis

You retain ownership of content you create. You grant Batch Keeper a limited license to host, process, reproduce, and transmit that content only as necessary to operate, secure, maintain, and provide the Service.

Batch Keeper does not independently verify user-created customer records and is not responsible for their accuracy.

5. Location-Based Features

With your permission, Batch Keeper may access device location to provide features such as:

Mileage tracking during a work session you manually start
Customer arrival alerts using operating-system geofencing
Nearby shopper activity when you voluntarily share your presence
Weather information
Address geocoding and mapping functions

Mileage tracking may continue while the app is in the background or the screen is locked during an active work session. Tracking stops when you end that session.

Customer arrival alerts may operate in the background when enabled. You may disable arrival alerts or revoke location permissions through the app or your device settings.

The nearby shopper feature provides an aggregated activity count. It does not provide other users with your identity or precise coordinates.

Location services depend on your device, operating system, network, GPS signal, battery settings, permissions, and third-party providers. Location readings, mileage calculations, geofences, arrival alerts, maps, weather results, and nearby counts may be inaccurate, delayed, interrupted, or unavailable.

Batch Keeper does not guarantee that an arrival alert will be delivered before reaching a customer.

6. Safe Use While Driving

Do not manually operate Batch Keeper while driving.

Configure mileage tracking, arrival alerts, navigation, and other features before beginning to drive, or stop in a safe and lawful location before interacting with the app.

You remain responsible for safe driving, compliance with traffic laws, and appropriate use of your device. Batch Keeper is not responsible for accidents, injuries, citations, property damage, or losses resulting from distracted or unsafe driving.

7. Mileage, Earnings, and Financial Estimates

Batch Keeper may calculate estimated mileage, time, fuel costs, earnings, and profitability based on information provided by you, your device, and third-party services.

These calculations are estimates only. They may be affected by inaccurate GPS readings, incomplete information, vehicle conditions, fuel prices, traffic, taxes, fees, and other factors.

Batch Keeper does not provide financial, accounting, tax, employment, investment, or legal advice.

Mileage and earnings records generated by Batch Keeper are not guaranteed to satisfy Internal Revenue Service requirements or the requirements of any other tax authority, employer, platform, insurer, or government agency. You are responsible for maintaining appropriate supporting records and consulting qualified professionals.

8. Subscriptions and Free Trials

Certain features require a Batch Keeper Premium subscription purchased through Google Play.

The currently offered subscription includes:

A 14-day free trial for eligible users
A monthly subscription price displayed by Google Play
Automatic monthly renewal unless canceled

Trial eligibility is determined by Google Play and may be limited to users who have not previously used the offer.

Unless you cancel before the trial ends, Google Play will automatically begin charging the subscription price shown during checkout. Applicable taxes may also be charged.

Subscriptions renew automatically until canceled. You can manage or cancel your subscription through your Google Play account. Deleting the Batch Keeper app or your Batch Keeper account does not automatically cancel your Google Play subscription.

Google Play processes payments. Batch Keeper does not receive or store your complete payment-card information.

RevenueCat assists with subscription verification and Premium access. Subscription access may be temporarily delayed if Google Play, RevenueCat, your network, or another required service is unavailable.

Prices, trial availability, taxes, and billing terms presented by Google Play at checkout control the transaction.

9. Cancellations and Refunds

You may cancel an auto-renewing subscription through Google Play. Cancellation generally prevents future renewals, and access may continue until the end of the paid billing period.

Refund requests are subject to Google Play’s billing policies, applicable law, and the Batch Keeper Refund Policy.

Batch Keeper cannot directly cancel a Google Play subscription on your behalf.

10. Third-Party Services

Batch Keeper relies on or interacts with third-party services, which may include:

Clerk for authentication and account management
RevenueCat for subscription verification and entitlements
Google Play for billing and subscriptions
Google Maps or Apple Maps services for mapping and geocoding
Open-Meteo for weather information
Hosting and database infrastructure providers

Your use of those services may also be governed by their respective terms and privacy policies.

Batch Keeper does not control and is not responsible for the availability, accuracy, security, content, policies, or performance of third-party services.

11. Account Deletion

You may permanently delete your account directly in the app:

Account → Profile → Delete Account → Delete Permanently

You may also submit a deletion request at:

Account deletion is permanent and may remove customer records, presence information, and other data associated with your Batch Keeper account, subject to legal retention requirements.

Deleting your account does not cancel an active Google Play subscription. You must cancel it separately through Google Play to prevent future charges.

Google Play, RevenueCat, and other providers may retain transaction records according to their policies and applicable law.

12. Service Availability and Changes

We may modify, improve, suspend, replace, or discontinue features when reasonably necessary for maintenance, security, legal compliance, technical limitations, or product development.

We do not guarantee uninterrupted or error-free availability. Temporary interruptions may occur because of maintenance, network failures, device limitations, third-party outages, or events outside our reasonable control.

When practical, we will attempt to provide notice of material changes affecting paid features.

13. Suspension and Termination

We may restrict, suspend, or terminate access if we reasonably believe that you:

Violated these Terms
Used the Service unlawfully or abusively
Threatened the security or operation of the Service
Created risk or potential legal liability
Engaged in fraud, harassment, or misuse of personal information

Where appropriate and legally required, we will provide notice or an opportunity to correct the issue.

You may stop using Batch Keeper or delete your account at any time.

Sections that by their nature should survive termination—including ownership, disclaimers, limitations of liability, and governing law—will remain effective.

14. Intellectual Property

Batch Keeper, including its software, design, branding, logos, graphics, text, features, and original content, is owned by or licensed to Batch Keeper and is protected by applicable intellectual-property laws.

Except for the limited license granted in these Terms, no right or interest in Batch Keeper intellectual property is transferred to you.

Feedback or suggestions you voluntarily provide may be used to improve the Service without obligation to compensate you.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available.”

We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and results.

We do not warrant that:

The Service will always be available, secure, or error-free
Location or mileage measurements will always be accurate
Alerts or notifications will always be delivered
Calculations will reflect actual earnings or tax results
User-created records will be complete or accurate
Third-party services will remain available

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Batch Keeper and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:

Lost income, tips, profits, opportunities, or data
Business decisions made using the Service
Missed or delayed notifications
Inaccurate mileage, fuel, weather, map, or earnings information
Service interruptions
Actions taken based on user-created customer records
Unauthorized account access outside our reasonable control
Accidents or losses associated with device use while driving

To the fullest extent permitted by law, Batch Keeper’s total liability arising from the Service will not exceed the amount you paid for Batch Keeper during the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability, so these limitations may not apply to you.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Batch Keeper and its operator from claims, damages, losses, liabilities, and reasonable expenses arising from:

Your unlawful or improper use of the Service
Information or content you enter
Your violation of these Terms
Your violation of another person’s rights
Your unsafe use of the app while driving

By using the Service, you acknowledge that you have reviewed the Privacy Policy.

19. Changes to These Terms

We may update these Terms to reflect changes in the Service, law, billing arrangements, security requirements, or business practices.

We will update the effective date when changes are made. When required, we will provide additional notice.

Continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.

20. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles.

Any dispute not resolved informally will be subject to the jurisdiction of the state or federal courts located in Illinois, unless applicable consumer law requires otherwise.

21. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect. The invalid provision will be interpreted or modified only to the minimum extent necessary to make it enforceable where permitted.

22. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented during a purchase, constitute the entire agreement between you and Batch Keeper concerning the Service and replace prior agreements concerning the same subject.
